1. Acceptance of Terms

Welcome to JetChat's services. These Terms of Service ("Terms") constitute a legally binding agreement between you and JetChat ("we", "our").

By using our services, you agree to be bound by these Terms. If you do not agree with these Terms, please do not use our services.

2. Service Description

JetChat provides online communication and collaboration platform services. We reserve the right to modify, suspend, or discontinue any part of the services at any time, with or without notice.

While we strive to ensure service availability, we do not guarantee that the services will always be available, uninterrupted, or error-free.

3. User Accounts

3.1 Account Registration

You must:

• Be at least 13 years old to use our services
• Provide accurate, complete, and up-to-date registration information
• Maintain the security and confidentiality of your account information
• Be responsible for all activities that occur under your account

3.2 Account Security

You are responsible for maintaining the security of your account. If you discover any unauthorized use of your account, please notify us immediately. We are not liable for any loss or damage resulting from your failure to comply with this security obligation.

4. Acceptable Use

You agree not to:

• Violate any applicable laws or regulations
• Infringe upon the rights of others, including intellectual property rights
• Upload or transmit viruses, malware, or other harmful code

5. User Content

5.1 Content Ownership

You retain all rights to any content you upload, post, or submit through the services ("User Content"). By submitting User Content, you grant us a worldwide, perpetual, non-exclusive, royalty-free license to use, reproduce, adapt, publicly transmit, broadcast, publish, and display that content in any manner necessary to provide the services.

5.2 Content Responsibility

You are solely responsible for your User Content. You represent and warrant that you own or have obtained all necessary rights and permissions to post User Content and grant the licenses described in these Terms.

6. Intellectual Property

The services and their original content, features, and functionality are owned exclusively by JetChat and protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

Unless explicitly authorized by these Terms, you may not exercise any rights including but not limited to reproduction, adaptation, transmission, sale, or rental of any part of the services and all legal rights therein, nor may you reverse engineer or attempt to extract the source code of our software.

7. Termination

We may immediately suspend or terminate your account and access to the services without prior notice, for any reason, including but not limited to violation of these Terms.

You may terminate your account at any time by ceasing to use the services and deleting your account. Upon termination, your right to use the services will immediately cease.

8. Disclaimer of Warranties

The services are provided on an "as is" and "as available" basis, without any warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the services will be uninterrupted, timely, secure, or error-free. You use the services at your own risk.

9. Limitation of Liability

To the maximum extent permitted by applicable law, JetChat and its officers, directors, employees, or agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of data, business interruption, or other intangible losses, even if we have been advised of the possibility of such damages.

10. Indemnification

You agree to indemnify and hold harmless JetChat and its affiliates, officers, agents, employees, and partners from any claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney's fees) arising from: (a) your use and access to the services; (b) your violation of any term of these Terms; (c) your infringement of any third-party rights.

11. Dispute Resolution

11.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Republic of China (Taiwan), without regard to its conflict of law provisions.

11.2 Dispute Resolution

Any disputes arising from or related to these Terms shall first be resolved through good faith negotiation. If the dispute cannot be resolved through negotiation, both parties agree to submit to the jurisdiction of the Taipei District Court in Taiwan.

12. Changes to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice before the new terms take effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our services after any such modifications become effective, you agree to be bound by the revised terms.

13. Severability

If any provision of these Terms is found to be invalid or unenforceable, that provision will be removed or limited to the minimum extent necessary, and the remaining provisions of these Terms will continue in full force and effect.

14. Entire Agreement

These Terms constitute the entire agreement between you and JetChat regarding the services and supersede any prior agreements we may have had regarding the services.
